Applications created by Zendesk Marketplace: Integrations and applications created or developed by Zendesk or its associated companies and made available on the Zendesk Marketplace (available under subject to this Agreement, unless Zendesk provides you with another agreement at the time of your provision or access to the Integration or Application. You will immediately notify us of recalls or impending recalls of your products and cooperate and assist us in connection with recalls, including the opening of procedures for returning items to you as part of our standard procedures. You are responsible for all costs and expenses incurred by you, us or any of our associated companies in connection with a recall or imminent recall of any of your products (including the costs of returning, storing, repairing, liquidating or delivering to you or a seller of such products). Where any provision of this Agreement is held to be unlawful, invalid or, for any reason, unenforceable, that provision shall be deemed severable from these Terms and Conditions of Sale and shall not affect the validity and enforceability of the remaining provisions. This Agreement, together with the EPA User Agreement and the APUK User Agreement, constitute the entire agreement between the parties with respect to the Services and related content and supersede all prior or concurrent oral or written agreements and understandings. 3.1 In accordance with the terms of our agreement with the Reseller (the “Reseller Agreement”), we are entitled to suspend or terminate your subscription to the Service, your rights to access and use the Service or your account and to withdraw and cancel all Service Data if: (a) we are informed by the Reseller that you have not paid the amounts due to the Reseller in respect of your subscription to a Service; or (b) the reseller does not pay the amounts due to us under the reseller agreement regarding your subscription to a service. You agree to these suspension and termination rights and acknowledge and agree that Zendesk assumes no liability to you with respect to any such suspension or termination. Their sole recourse to such suspension or termination is directed against the reseller.

16.2 Global Agreement. This agreement represents the entire agreement and supersedes all prior agreements between you and Zendesk regarding the subject matter of the agreement. This Agreement applies in lieu of the terms of any order or order documentation that you or any legal entity you represent (all such terms are null and void) and, unless expressly stated, there are no other agreements, assurances, warranties or obligations on which either party can rely on the subject matter of this Agreement. There is no oral undertaking, conditions, assurances, collusions, interpretations or conditions of any kind between the parties, unless otherwise stated. The headings used here have been for clarity only and have no influence on the interpretation of the terms of this Agreement. “Seller Agreement” means the Amazon Services Terms of Sale, the Endorsement for Professional Sellers, a successor to any of these agreements, or any other similar agreement (as defined by Amazon) between you and us, which allows you to list and sell certain products and services through a particular Amazon website. . . .
